Merger of one of the largest Lithuanian media planning and advertising companies

We acted as legal counsel in a merger of Adcom and Mediapool – one of the largest Lithuanian media planning and advertising companies with an estimated 15 percent of the total market share. We advised on the establishment of Media klubas for the merger and prepared the relevant documents for the concentration notification to the Competition Council.

Advising of Estonian Central Union of Home Owners on price control of water

Our attorneys provided the Estonian Central Union of Home Owners, an organization representing more than 38,000 home owners, with a legal opinion on the competence of the Estonian Competition Board to review pricing of AS Tallinna Vesi, a dominant water services provider in the capital of Estonia.

Advising Eden Springs in the acquisition of the assets of UAB Vanvita

We advised Eden Springs, a leading water cooler company, in the acquisition of the assets of Lithuanian company UAB Vanvita. Currently, the law firm has an opportunity to serve as a counsel for Eden Springs in the acquisition of the shares of another Lithuanian company – UAB Neptūno vandens pristatymas. In both cases we advised on the necessity to provide concentration notification to the Competition Council.

Successful representation of electricity network operator in a dispute of network charges

We successfully represented OÜ Tallinna Sadama Elektrivõrk (the electric grid operator in the Port of Tallinn) in proceedings with the Estonian Competition Authority concerning a dispute over approval of connection charges under the new Electricity Market Act.

Dispute against the Lithuanian Competition Council

We represented the client Pirmoji kava, a leading events organizing company, in a dispute against the Lithuanian Competition Council. The dispute arose when the members of the Association of Events Organizers, agreed to charge every purchasing organization a starting-fee so that their ideas and concepts disclosed over the public procurement could be protected. The Lithuanian Competition Council fined the claimant for participating in a cartel organized by and through, the Association of Events Organizers.

Merger control proceedings in connection with the acquisition of leading shoe retailer

Our attorney’s advised AS Tallinna Kaubamaja group (leading OMX listed Baltic retailer) in connection with the merger control proceedings arising from the acquisition of AS ABC King, a leading shoe retailer operating in Estonia and Latvia.

Dispute on alleged dominant position

Our Estonian competition team assisted AS Tallinna Sadam (Port of Tallinn) in its dispute with the local branch of the Finnish fuel company – Neste Eesti AS over the alleged dominant market position.

Merger Control clearance for the acquisition of a major chain of supermarkets

Our Estonian advocates assisted AS A-Selver, a major chain of super-and hypermarket stores, in connection with obtaining the merger control clearance for its acquisition of all assets (“enterprise”) of OÜ Tirsi Grupp, a leading chain of super- and hypermarkets in Tartu, the second largest city in Estonia. The said merger clearance was the first merger clearance in the Estonian Competition Board where control was transferred through the transfer of all assets of the company as opposed to the transfer of shares.

Merger control advice in connection with the 62 MEUR sale of a leading shopping centre
